“Lifetime” refers to the lifetime of the UTManager service as operated by Vertical Orbit LLC, not the lifetime of the purchaser.
Lifetime Access includes use of the core functionality of the service as it exists at the time of purchase. Vertical Orbit LLC may introduce new features, services, integrations, modules, usage limits, or tiers in the future, which may be offered separately for an additional fee and are not guaranteed to be included with Lifetime Access unless explicitly stated.
We reserve the right to modify, update, replace, limit, or discontinue features, functionality, or portions of the service at any time, including those available under a Lifetime Access plan, provided that reasonable access to the core service is maintained while the service remains operational.
Lifetime Access plans are non-transferable and may not be resold, shared, sublicensed, or assigned to another individual, organization, or account without prior written consent.
Lifetime Access is subject to reasonable use limits and acceptable use policies. We reserve the right to impose usage restrictions, suspend access, or terminate accounts that abuse the service, place unreasonable load on infrastructure, or violate these Terms of Service.
Lifetime Access does not guarantee continued development, specific future features, or compatibility with third-party platforms, integrations, or services.
Lifetime Access purchases are non-refundable except where required by law.

Vertical Orbit LLC will not be liable for any damages, losses, or expenses arising out of your use or inability to use our services, even if we have been advised of the possibility of such damages.
These terms will be governed and construed in accordance with the laws of State of Florida, United States, without regard to its conflict of law provisions.
